Terms &
Conditions.

Last updated: September 4, 2026

These Terms & Conditions (“Terms”) govern your use of outspendmedia.com (the “Site”) and services provided by Struic (“Struic,” “we,” “us,” or “our”). By accessing the Site or engaging our services, you agree to these Terms. If you do not agree, do not use the Site.

Use of the Site

You agree to use the Site only for lawful purposes and in ways that do not infringe the rights of, restrict, or inhibit anyone else’s use of the Site. You will not:

  • attempt to gain unauthorised access to the Site, our systems, or any account or data;
  • use the Site to transmit malware, viruses, or harmful code;
  • scrape, copy, or redistribute substantial portions of the Site without our written permission; or
  • use the Site to harass, defame, or harm others.

Intellectual property

All content on the Site — including text, graphics, logos, images, videos, design, and code — is owned by Struic or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may view and download materials for personal, non-commercial reference only. Any other use, including reproduction, modification, distribution, or republication, requires our prior written consent.

“Struic,” “Outspend,” and their associated logos are trademarks or trade names of Struic. Client brands, product names, and logos referenced on the Site remain the property of their respective owners.

Client engagements

Any engagement between Struic and a client is governed by a separate written agreement (a “Master Services Agreement” or “MSA”) and any corresponding statement of work. In the event of a conflict between these Terms and an MSA, the MSA controls for the subject matter it covers.

Applications submitted through the Site do not create a contractual relationship. We review applications at our discretion and may decline to engage an applicant.

Fees for our services are set out in the applicable MSA or statement of work. Unless otherwise agreed in writing, invoices are due on a net-7 basis from the invoice date. Late payments may incur interest and suspension of services.

Services and advertising performance

Struic uses reasonable skill and care in delivering creative and advertising services. Advertising performance depends on factors outside our control, including your product, offer, market, landing page, fulfilment, pricing, platform policies, and market conditions. We do not guarantee a specific business outcome, revenue figure, return on ad spend, or cost per acquisition.

You warrant that you own or have the necessary rights to materials you provide to us, including product footage, imagery, copy, and testimonials, and that our use of those materials will not infringe a third party’s rights. You are responsible for reviewing and approving final creative and for ensuring your advertising complies with applicable laws and platform policies.

Third-party platforms

Our services involve third-party platforms, including Meta, TikTok, Google, and YouTube. Your use of those platforms is governed by their own terms and policies. We are not responsible for their conduct, outages, policy changes, or decisions to suspend or reject advertising. The Site may contain links to third-party sites; we are not responsible for their content.

Confidentiality

We treat client information, strategies, performance data, and materials marked or reasonably understood to be confidential as confidential. We expect the same from you with respect to our methods, pricing, and non-public information shared during an engagement. Additional confidentiality obligations may be set out in an MSA.

Disclaimers and limitation of liability

The Site is provided “as is” and “as available” without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free from viruses or other harmful components.

To the maximum extent permitted by law, Struic will not be liable for indirect, incidental, consequential, special, or exemplary damages, including lost profits, lost revenue, lost data, or business interruption, arising from or related to your use of the Site or our services. Liability under an MSA is governed by the terms of that agreement.

Indemnity

You agree to indemnify and hold harmless Struic, its officers, employees, contractors, and affiliates from claims, damages, losses, or expenses, including reasonable legal fees, arising from your use of the Site, your breach of these Terms, or your violation of a law or third-party right.

Governing law

These Terms are governed by the laws of the Netherlands. Any dispute arising out of or related to these Terms or the Site will be submitted to the competent courts of the Netherlands, unless mandatory law provides otherwise.

Changes to these Terms

We may update these Terms from time to time. The updated version will be posted here with a new “Last updated” date. Continued use of the Site after changes take effect means you accept the revised Terms.
